OIL AND NATURAL GAS COMMISSION (TRANSFER OF UNDERTAKING AND REPEAL) ACT, 1993. [Act, No. 65 of 1993] [4th September, 1993] PREAMBLE An Act to provide for the transfer and vesting of the undertaking of the Oil and Natural Gas Commission to and in the Oil and Natural Gas Corporation Limited, a company incorporated under the Companies Act, 1956, and for matters connected therewith or incidental thereto and also to repeal the Oil and Natural Gas Commission Act, 1959. BE it enacted by Parliament in the Forty-fourth Year of the Republic of India as follows: -

.....or in any decree or order of any court, tribunal or other authority, nothing contained in the Transfer of Property Act, 1882, or the Indian Contract Act, 1872, or the West Bengal Premises Tenancy Act, 1956, shall apply, or shall be deemed ever to have applied, to any transfer of Government land to a lessee, either by lease or by any other instrument, by or on behalf of the State Government, and such transfer of Government land shall take effect, and shall be deemed always to have taken effect, as if the Transfer of Property Act, 1882, or the Indian Contract Act, 1872, or the West Bengal Premises Tenancy Act, 1956, has not been passed. Section 4 Bar to registration of document Notwithstanding anything contained in the Registration Act, 1908, no registering officer shall register any document relating to the transfer of Government land, held by any lessee on lease, in favour of any person, not being the State Government or a Government undertaking, except with the permission granted by the competent authority in writing in this behalf. Section 5 Permission by competent authority to be valid notwithstanding anything to the contrary contained in the Act or in any other law .....

.....Transfer of Power Transmission Systems) Act, 1993. (2) It extends to the whole of India except the State of Jammu and Kashmir. (3) The provisions ofsections 8-to11-andsections 13-to16-shall be deemed to have come into force on the 8th day of January, 1993 and the remaining provisions of this Act shall be deemed to have come into force on the 1st day of April, 1992 and any reference to the commencement of this Act in any provision of this Act shall be construed as a reference to the commencement of that provision. SECTION 02: DEFINITIONS - In this Act, unless the context otherwise requires,- (a) "appointed day" means the 1st day of April, 1992; (b) "associated personnel" means the employees of each of the three companies associated with its power transmission system; (c) "Corporation" means the Power Grid Corporation of India Limited, being a company within the meaning of theCompanies Act, 1956-and having its registered office at Hernkunt Chambers, 89, Nehru Place, New Delhi-110019; (d) "notifications" means a notification published in the Official Gazette; (e) "power transmission system", in relation to each company specified in the First Schedule, means the main transmission.....

.....under sub-section (1) of section 3 of the Oil and Natural Gas Commission Act, 1959-; (d) "prescribed" means prescribed by rules made under this Act. SECTION 03: UNDERTAKING OF COMMISSION TO VEST IN CORPORATION - On such date" as the Central Government may, by notification in the Official Gazette, appoint, the undertaking of the Commission shall stand transferred to; and vest in, the Corporation. SECTION 04: GENERAL EFFECT OF VESTING OF UNDERTAKING IN CORPORATION (1) On and from the appointed day, the entire capital of the Commission shall, by virtue of this Act, stand vested in the Corporation. (2) The undertaking of the Commission which is transferred to and which vests in the Corporation under section 3-shall be deemed to include all assets rights, powers, authorities and privileges and all properties movable and immovable, real and personal, corporeal or incorporeal, in possession or reservation present or contingent of whatever nature and where so ever situate including lands, buildings, works, workshops, vehicles, oil rigs, oil platform, cash balances, deposits, foreign currencies, reserves, reserve funds or any other investments, securities tenancies, leases and book.....

....."Corporation" means the Industrial Finance Corporation of India established under sub-section (1) of section 3 of the Industrial Finance Corporation Act, 1948. SECTION 03: UNDERTAKING OF THE CORPORATION TO VEST IN THE COMPANY On such date as the Central Government may, by notification in the Official Gazette, appoint1there shall be transferred to, and vest in, the Company the undertaking of the Corporation. SECTION 04: GENERAL EFFECT OF VESTING OF UNDERTAKING IN THE COMPANY - (1) Every shareholder of the, Corporation immediately before the appointed day shall be deemed to be registered on and from the appointed day as a shareholder of the Company to the extent of the face value of the shares held by such shareholder. (2) The undertaking of the Corporation which is transferred to and which vests in the Company undersection 3-shall be deemed to include all business, assets, rights, powers, authorities and privileges and all properties, movable and immovable, real and personal, corporeal and incorporeal, in possession or reservation, present or contingent of whatever nature and wheresoever situate including lands, buildings, vehicles, cash balances, deposits, foreign currencies,.....

(6) The name of every promoter registered under sub-section (5) shall be entered in a register to be maintained by the authorised officer in such form as may be prescribed. (7) The promoter, whose name has been registered under sub-section (5), shall be granted a certificate of registration in such from as may be prescribed; and the permission.....
