THE PUBLIC SECTOR IRON AND STEEL COMPANIES (RESTRUCTURING) AND MISCELLANEOUS PROVISIONS ACT, 1978 [Act, No.16 of 1978] [30th April, 1978] PREAMBLE An Act to provide for restructuring of the iron and steel companies in the public Sector so as to secure better management and grater efficiency in their working and for matters connected therewith or incidental thereto. .....STEEL LIMITED TO CENTRAL GOVERNMENT On the appointed day, all the shares held by the Bokaro Steel Limited in the share capital of the Bharat Refactories Limited shall stand transferred to, and vest in, the Central Government. SECTION 09: TRANSFER OF SHARES HELD BY INTEGRAL COMPANY TO CENTRAL GOVERNMENT On the appointed day, all the shares held by the Integral Company in the share capital of each of the companies specified in the Second Schedule shall stand transferred to, and vest in, the Central Government. SECTION 10: TRANSFER OF SHARES HELD BY INTEGRAL COMPANY TO BHARAT REFRACTORIES LIMITED On the appointed day, all the shares held by the Integral Company in the share capital of the India Firebricks and Insulation Company Limited (a company formed and registered under the Companies Act having its registered office at Bombay in the State of Maharashtra) shall stand transferred to and vest in, the Bharat Refractories limited. Dalmia Dadri Cement Limited, one of the cement factories in the country, located at Charkhi Dadri (Haryana) with a licensed capacity of 2.39 lakhs tonnes of cement per annum has been engaging the attention of the Central Government. Due to financial difficulties resulting from mismanagement the company has closed down production in 1975. As a result of the efforts made towards the rehabilitation of the company by the State Government, Central Government and financial institutions the company restarted its production in December 1975, the performance of the company had, however, not been satisfactory and an investigation, under the provisions of the Industries (Development and Regulation) Actwas carried out. The Investigating Committee had commented adversely on the functioning of this cement factory, Due to acute financial crisis, the management of this company had closed down the factory on 18th March, 1980 and the factory has been lying closed since then. 2. .....41 of 1977 17th December 1977 STATEMENT OF OBJECTS AND REASONS Messrs. Smith, Stanistreet and Company Limited, Calcutta were engaged in the manufacture of drugs and pharmaceuticals which were essential to the needs of the country. The Company began to show steady decline in production from 1970 onwards and incurred considerable losses. The Company was also being mismanaged. After investigation into the affairs of the Company through an investigation Committee, the management of its undertakings was taken over on 4th May, 1972 by the Central Government acting under section 18A of the Industries Development and Regulation) Act. 1951. The Indian Drugs and Pharmaceuticals Ltd., a Public Sector Undertaking was appointed as authorised Controller. As the Company had to be modernised and expansion undertaken in order to ensure the augmentation and distribution of the different varieties of essential pharmaceuticals and chemicals produced; by the Company arid to ensure the continued supply thereof in public interest, it was necessary to acquire the right title and interest of the undertakings of the Company. 1 [(1)] If in any accounting year an establishment in public sector sells any goods produced or manufactured by it or renders any services, in competition with an establishment in private sector, and the income from such sale or services or both is not less than twenty per cent of the gross income of the establishment in public sector for that year, then, the provisions of this Act shall apply in relation to such establishment in public sector as they apply in relation to a like establishment in private sector. 2 [(2) Save as otherwise provided in sub-section (1), nothing in this Act shall apply to the employees employed by any establishment in public sector.] _______________________ 1.
