Companies Act, 1956 Section 205

Title: Dividend to Be Paid Only out of Profits

.....the expiry of the specified period; or (d) as regards any other depreciable asset for which no rate of depreciation has been laid down by 3 [this Act or any rules made thereunder], on such basis as may be approved by the Central Government by any general order published in the Official Gazette or by any special order in any particular case: Provided that where depreciation is provided for in the manner laid down in clause (b) or clause (c), then, in the event of the depreciable asset being sold, discarded, demolished or destroyed the written down value thereof at the end of the financial year in which the asset is sold, discarded, demolished or destroyed, shall be written off in accordance with the proviso to section 350. 4 [(2A) Notwithstanding anything contained in sub-section (1), on and from the commencement of the Companies (Amendment) Act, 1974 no dividend shall be declared or paid by a company for any financial year out of the profits of the company for that year arrived at after providing for depreciation in accordance with the provisions of sub-section (2), except after the transfer to the reserves of the company of such percentage of its profits for that year,.....

Electricity (Supply) Act, 1948 [Repealed] Section 45

Title: Power of Board to Enter Upon and Shut Down Generating Stations in Certain Circumstances

(1) If any licensee fails to close down his generating station pursuant to a declaration of the Board under section 36, or if any person establishes or acquires a new generating station or extends or replaces any plant or works in any generating station in contravention of section 44, the Board may authorise any of its officers to enter upon the premises of such station and shut down the station or the plant or works, as the case may be, in respect of which the failure or contravention has occurred. (2) Any expenses incurred by the Board under this section shall be recoverable by it from the licensee or person concurred as an arrear of land revenue, and for such purpose the Board shall be deemed to be a public officer within the meaning of section 5 of the Revenue Recovery Act, 1890 (1 of 1890). (3) Any difference or dispute arising out of the provisions of this section shall be referred to the arbitration of the Authority.

Industrial Disputes Act, 1947 Section 25O

Title: Procedure for Closing Down an Undertaking

.....of the workmen by registered post with acknowledgement due. (2) Where a notice has been served on the State Government by an employer under sub-section (1) of section 25FFA and the period of notice had not expired on the 5th August, 1983, such employer shall not close down the undertaking but shall, within a period of fifteen days from the said date, apply to the State Government for permission to close down the undertaking. (3) Where an application for permission has been made under sub-section (1) or sub-section (2) the State Government after making such enquiry as it thinks fit and after giving a reasonable opportunity of being heard to the employer, the workmen and the persons interested in such closure may, having regard to the genuineness and adequacy or the reasons stated by employer, the interests of the general public and all other relevant factors, by order and for reasons to be recorded in writing, grant or refuse to grant such permission and copy of such order shall be communicated to the employer and the workmen. (4) Where an application has been made under sub-section (1) or sub-section (2) as the case may be, and the State Government does not communicate.....

Industrial Disputes Act, 1947 Section 25P

Title: Special Provision as to Restarting Undertakings Closed Down Before Commencement of the Industrial Disputes (Amendment) Act, 1976

.....Notwithstanding anything contained in sub-section (1) the appropriate Government may, either on its own motion or on the application made by the employer and after giving the employer and the workmen an opportunity of being heard, review its order under sub-section (1) or refer the matter to a Tribunal for adjudication: Provided that where a reference has been made to a Tribunal under this subsection, it shall pass an award within a period of sixty days from the date of such reference and, pending such award, the undertaking shall not be closed down." ________________________ 1.
