This agreement is entered into on this the ................... day of 20 ..... by and between:-
............................. a Public Limited Company having its registered office at ................ India, represented by its director Mr ........................ S/o.................................... aged about .................. years, (hereinafter referred to as THE COMPANY) which expression shall mean and include the officers of the company for the time being, the successors in interest and/or title.
............................. a Public Limited Company having its registered office at ................ India, represented by its director Mr ........................ S/o.................................... aged about .................. years, (hereinafter referred to as THE COMPANY) which expression shall mean and include the officers of the company for the time being, the successors in interest and/or title.
AND
Mr. .................................... S/o.Mr .................................... aged ............... years, resident (herein after referred to as CONTRACTOR) which expression shall mean and include his successors in interest and/or office.
Whereas the company is engaged in the business of ..............................
Whereas the Company is interested in engaging the Contractor with the specific object of executing the above technical jobs on contract basis for and on behalf of the company on payment basis.
Whereas the Company will be imparting training to the Contractors, by incurring substantial sum of money, by also parting with information which is very vital to the business of the Company, and which is highly confidential in nature.
Whereas the company intends to reduce to writing the terms and conditions on which it is appointing the contractor.
NOW THEREFORE THIS AGREEMENT WITNESSETH AS FOLLOWS
01. The company hereby appoints the Contractor for a period of one year only, for the purpose of working on the project of the Company at Hyderabad, India or in Sultanate of Oman with total emoluments of Rs ............./- per month in India and Rs ............./- in Sultanate of Oman, as the case may be, exclusive of board and lodging and conveyance. The company will entrust specific work to the Contractor, which shall be discharged by the Contractor to the best of his abilities.
02. During the tenure of this agreement, the Contractor shall not engage himself gainfully in any other manner and shall devote his full time and energy to the Project of the Company.
03. The contractor agrees and accepts that whatever information comes to his possession will be treated as strictly confidential and he will not part with it.
04. In case of breach of contract by the Contractor, he shall pay a sum of Rs ............../-as liquidated damages towards cost of training of the contractor and other expenses.
05. Nothing in this agreement shall be construed as establishing an employee and employer relationship between the contractor and the company.
