THIS ARTICLE OF AGREEMENT

BETWEEN

Mr....................... aged about ......... years Occupations ........................ Residing at................... Hereainafter called and referred to as the “Vendor” (which expression shall unless it be repugnant to the context or meaning thereof mean and include his heirs, executors, administrator, and assigns) the PARTY OF THE FIRST PART.

AND

Mr............................ Aged about ............. Years, Occupation............. Residing at........................ hereinafter called and referred to as the “Purchaser” (which expression shall unless it be repugnant to the context or meaning thereof mean and include his heirs executors, administrator, and assigns) the PARTY OF THE SECOND PART.

WHEREAS the party of the First part owns and possesses and/or otherwise well and sufficiently entitled a .................................. Admeasuring about .......sq. ft. and S. No............ AH No.......... and Plot No....... and more particularly described in the SCHEDULE hereunder written (hereinafter for the sake of brevity called and referred to as the SAID PREMISES)

AND WHEREAS the party of the First part has purchased the aforesaid ........... on ownership from M/s.......................

AND WHEREAS the said agreement for sale is duly registered at the office of the sub-registrar of Assurance, ................. under their No..........

AND WHEREAS the Vendor has paid the requisite stamp Duty on the aforesaid Agreement vide challan dated ...........

AND WHEREAS the Vendor herein in pursuance to the said agreement have paid the full price/considerations after execution of the premises unto the said M/s................ and have taken the vacant and peaceful possession of the said premises.

AND WHEREAS this is the self acquired property of the Vendor.

AND WHEREAS the party of the first part is enjoying the said premises as full and absolute owner thereof.

AND WHEREAS the Vendor at his own sweet will decided to sell the aforesaid premises on OWNERSHIP BASIS together with individual title and interest in and upon the said premises.

AND WHEREAS the purchaser being in the need of suitable premises came to know the approached the Vendor and offered to purchase the said premises at and for lumpsum price of Rs............ together with individual right title and interest in and upon the said premises.

AND WHEREAS after consideration the said offer from all the angles and being found the same fair at present market value the same has been ultimately accepted by the Vendor.

AND NOW THEREOF THIS AGREEMENT WITNESSETH AND IT IS HEREBY MUTUALLY AGREED BY AND BETWEEN THE PARTIES AS UNDER :-

1. The Vendor doth hereby agreed and assures to sell and Purchasers both hereby agree and assure to purchase the said premises being .................... on ................... floor area admeasuring about ..... sq. ft. built up in the .................................. at and for a lumpsum price of Rs.............. free from all encumbrances.

3. THE Purchaser hereby agree and assure that on becoming a member of the said ...................... (Proposed) to be formed by the flat/units owners of the said building, to abide by all single rules, regulations bye law adopted by the society or which the society may adopt from time to time.

4. THAT VENDOR hereby agreed and assure sand declare that he has not on or before the date of this Agreement transferred, assigned or in any way encumbrance or alienated his rights, title and interest in the said premises in favour of anybody else.

5. It is further agreed between the parties that on transfer of the said premises in the name of the purchaser, the purchaser is entitled to hold, possesses, occupy and enjoy the said premises without any interruption from the VENDOR herein.

6. THE VENDOR hereby further declare that he has full right and absolute authority to enter into this agreement and that he has not done or performed or cause any act, deed, matter or thing whatsoever whereby he may be obstructed, prevented or hindered in enjoying the rights to be conferred or transferred hereby in his favour or whereby the quiet and peaceful possession of the purchaser in respect of the said premises may be disturbed and in the event of it being so found the at the VENDOR not entitled to enter into this agreement and transfer the rights sought or purported to be transferred hereby and the purchaser is not able to enjoy the quiet and peaceful possession of the said premises due to any such reasons, the VENDOR shall within the limits of this consideration herein reserved be liable to compensate indemnify and/or reimburse the purchaser for the loss or damage which the said purchaser may sustain or suffer in this behalf.

7. THIS party of the first part has obtained the requisite NO OBJECTION CERTIFICATE from the Builders Mr. ......................... by vide their letter dated ................ to effectuate the legal and perfect transfer of the aforesaid premises in all records in the name of the purchaser at his own coast and expenses. Accordingly the part of the first part will give no objection Certificate for S.T.D., P.C.O. and all necessary formalities to the purchaser.

8. IT is hereby agreed by and between the parties that upto the date of agreement the charges and any other outgoing in respect of the aforesaid premises shall be borne by the party of the first part. And from today onwards the purchaser will pay the above said expenses.

9. THE VENDOR further agreed and assures that there is no suit or litigation pending in any court of law in respect of the said premises.

10. THE VENDOR hereby agrees and assures to sign and execute necessary application, affidavit, declaration, bonds etc., as and when necessary at the coats and expenses of the purchaser.

11. IT is agreed between the parties that the above consideration includes the coasts/deposits of electric meter and other deposits paid to the Building Mr...............

12. THE VENDOR has handed over the vacant and peaceful possession of the said premises on receipt of full and final consideration from the purchaser simultaneously on execution of this agreement.

13. THE purchaser hereby undertakes to insure the expenses of this agreement, applications, deeds, conveyances, whatsoever that will be necessary for the legal transfer of the right, title and interest in the said premises of the Vendor and all coasts for the said transfer, applications permissions and other expenses, legal exp. etc. are to be borne by the Purchaser. However the Purchaser is bound to get the said premises legally transferred in his own favour after observing all the requirements and to get and deeds/applications etc. for this purpose.

14. IT is agreed between the parties that the registration of the aid premises will be done after completion of payment Registration charges, all society transfer charges by the PURCHASER.

IN WITNESS WHEREOF THE PARTIES HAVE AND SET AND SUBSCRIBED THEIR RESPECTIVE HAND AND SEAL TO THIS WRITING ON THE DAY AND THE YEAR FIRST HEREINABOVE MENTIONED.
