Power-of-Attorney to a Manager by the proprietor of a Firm
KNOW ALL MEN BY THESE PRESENTS THAT I ................................ residing at...................... running business in the name of................... AND WHEREAS I appointed Mr............... as manager of the said proprietorship firm vide appointment letter dated.......... AND WHEREAS it is necessary for the efficient working of the said firm that certain powers be conferred on the said ............................. to be exercised by him during the period of his service with the said firm AND WHEREAS I do hereby appoint, nominate and constitute Mr ............... .as my true and lawful attorney for me and on my behalf to do the following acts, deeds and things:
1. To execute and sign in my name and on my behalf for the said firm, ....................... at ......................., any document, letter or deed in respect of the same;
2. To appoint agents, employees, workmen or other persons and to remove them as and when necessary or expedient and to pay them such remuneration, wages, bonus or other emoluments as are usual or customary or necessary for the efficient running of the said business.
3. To appoint sub-agents, stockists or distributors on such terms as may be necessary at such place or places as my said attorney may deem fit.
4. To file suits or defend them in any court, civil or criminal, original or appellate. To appear and act in all such courts and sign and file plaints, written statements, applications etc. and to verify the same. To appear and act in any office or before any taxing authority and for such and other purpose or purposes to file any application, appeal or to appoint any advocate, pleader, attorney or agent.
5. To bid at any auction or sale and to purchase property, stock-in-trade or other goods for the business and with my approval to make contracts for acquisition of stocks in respect of the said business and to dispose of the same in part or in whole.
6. To open and operate banking accounts in any bank or banks approved by me and to sign, endorse any cheque, hundi or bill of exchange on behalf of and in the name of the said business:
PROVIDED the said attorney shall keep or cause to be kept true and regular accounts and shall furnish me quarterly returns and all closing credit balances each month shall be regularly remitted to me or to such of my bankers as I may name.
I do hereby declare that all Acts, Deeds and things legally done or executed by the said attorney shall be deemed to be act, deeds and things done by me. I also bind myself to rectify and confirm all and whatever is done or lawfully caused to be done for me on account of power given by this presents.
