1 [440 . Right to present winding up petition where company is being wound up voluntarily ( 1 ) Where a company is being wound up voluntarily, a petition for its winding up by the Tribunal may be presented by -- (a) any person authorised to do so under section 439; or (b) the Official Liquidator. ( 2 ) The Tribunal shall not make a winding up ord er on a petition presented to it under sub-section ( 1 ), unless it is satisfied that the voluntary winding up cannot be continued with due regard to the interests of the creditors or contributories or both.] _____________________ 1. Any person who willfully neglects or refuses to comply with any requisition lawfully made upon him under section 150 and Schedule IX shall be punished with fine which may extend to one hundred rupees: Provided that no proceedings under this section shall be instituted except with the written sanction of the Commissioner: Provided further that before giving such sanction the Commissioner shall call upon the person against whom the procedings are to be instituted to show cause why the sanction should not be given.

Any offence committed under this Act, which is triable by a Special Court shall, until a Special Court is established, be tried by a Court of Session exercising jurisdiction over the area, notwithstanding anything contained in the Code of Criminal Procedure, 1973 (2 of 1974): Provided that nothing contained in this section shall affect the powers of the High Court under section 407 of the Code to transfer any case or class of cases taken cognizance by a Court of Session under this section.

(1) No person who produces, supplies, distributes or sells infant milk substitutes or feeding bottles or infant foods shall fix the remuneration of any of his employees or give any commission lo such employees on the basis of the volume of sale of such substitutes or bottles or foods made by such employees. (2) The employees of such person shall not perform any function which relates to educating a pregnant woman or mother of an infant on pre-natal or post-natal care of the infant.
