Bhagwati, C.J. 1. This appeal raises an interesting question of construction of section 446, sub-section (2), of the Companies Act, 1956. It arises out of an application made by the appellant under section 34 of the Arbitration Act, 1940, for stay of Suit No. 1 of 1970, filed by the respondents against the appellant in this court. The suit came to be filed in the following circumstances. The first respondent, prior to its winding-up, entered into two contracts with the appellant for purchase of certain items of textile machinery and under the contracts the first respondent paid an aggregate sum of Rs. 39,852 to the appellant. The appellant was ready and wiling to deliver the contracted items of textile machinery to the first respondent against payment of the balance of the purchase price but the first respondent failed to take delivery owing to its difficult financial circumstances and the appellant, therefore, forfeited the sum of Rs. 39,852 on the basis that it represented earnest mo...

This appeal arises out of the judgment and decree passed by the learned District Judge, Junagadh in Civil Appeal No. 150 of 1964, where under he confirmed the judgment and decree passed by the learned First Joint Civil Judge, Junior Division, Junagadh, in Civil Suit No. 32 of 1963. That suit was filed by one Munshi Abdulla Miyan Mahmad Miyan, describing himself as the 'Rent Collector' of the house of Datar Estate Committee of Junagadh. The suit was filed for recovery of possession of the leased premises and arrears of rent on the ground that the appellant-tenant was a tenant in arrears. Bhagwati, C.J.1. These references raise an interesting question of law relating to the scope of ambit of the charging provision in relation to capital gains tax. The question arises out of the assessments to incme-tax made on the assessees for the assessment year 1963-64. Prior to 18th February, 1961, the assessees and seven other persons carried on business in partnership in the firm name of Prajapati Tiles Company. The business of the firm was the manufacture of Mangalore tiles and this business was being carried on by the firm ever since its inception on 13th January, 1953. There were disputes between the partners of the firm and as a result of these disputes, the assesses retired form the firm with effect from 18th February, 1962, leaving the other seven as continuing partners of the firm.
