Title : Members to Be Known as Company Secretaries

Every member of the Institute in practice shall, and any other member may, use the designation of a Company Secretary and no member using such designation shall use any other description, whether in addition thereto or in substitution therefore: PROVIDED that nothing in this section shall be deemed to prohibit any such member from adding any other description or letters to his name if entitled thereto, to indicate membership of such other institute whether in India or elsewhere as may be recognized in this behalf by the Council, or any other qualification that he may possess, or to prohibit a firm, all the partners of which are members of the Institute and in practice, from being known by its firm name as Company Secretaries. Title : Companies Not to Engage in Company Secretaryship

(1) No company, whether incorporated in India or elsewhere, shall practise as Company Secretaries. (2) Any company contravening the provisions of sub-section (1) shall be punishable on first conviction with fine which may extend to one thousand rupees, and on any subsequent conviction with fine which may extend to five thousand rupees. Title : Penalty for Falsely Claiming to Be a Member, Etc.

Subject to the provisions of section 7, any person who,- (a) Not being a member of the Institute,-- (i) Represent that he is a member of the Institute; or (ii) Uses the designation "Company Secretary"; or (iii) Uses the letters "A. C. S." or "F. C. S." after his name; or (b) being a member of the Institute, but not having a certificate of practice, represents that he is in practice or practices as a Company Secretary, shall be punishable on first conviction with fine which may extend to one thousand rupees, and on any subsequent conviction with imprisonment which may extend to six months, or with fine which may extend to five thousand rupees, or with both. (1) For the deprivation of the two companies of the management of their undertakings, there shall be given by the Central Government to each of the companies in cash, an amount calculated at the rate specified against the name of such company in the Second Schedule for the period commencing on the date on which the management of the undertakings of such company was taken over in pursuance of the orders made by the Central Government under the provisions of the Industries (Development and Regulation) Act, 1951(65 of 1951) and ending on the appointed day.
